These Terms of Service ("Terms") govern your access to and use of the BYOV.ai website, services, and any related engagements ("Services") provided by BYOV.ai ("BYOV.ai", "we", "us", or "our"). By using the Services you agree to these Terms.
1. Eligibility & accounts
You must be at least 18 years old and have authority to enter into these Terms on behalf of any organization you represent. You are responsible for safeguarding any credentials we issue and for activity that occurs through your account.
2. Services
BYOV.ai provides consulting, implementation, and software services that operationalize AI inside customer workflows. Specific scope, deliverables, fees, and timelines are set out in a separate written statement of work, order form, or master services agreement ("MSA"). In the event of conflict, the MSA prevails over these Terms.
3. Acceptable use
You will not, and will not allow others to:
- use the Services to violate any law or third-party right;
- reverse engineer, decompile, or attempt to extract underlying source or models;
- upload content that is unlawful, infringing, or harmful;
- interfere with the integrity, security, or performance of the Services;
- use the Services to build a competing product.
4. Customer data
You retain ownership of all data you provide ("Customer Data"). You grant BYOV.ai a limited, non-exclusive license to process Customer Data solely to deliver and improve the Services. We process personal data in accordance with our Privacy Policy and applicable data-protection laws.
5. AI outputs
Outputs generated by AI systems may be incorrect, incomplete, or unsuitable for a particular purpose. You are responsible for reviewing outputs before relying on them and for ensuring outputs comply with applicable laws, regulations, and ethical standards. BYOV.ai makes no warranty that outputs are accurate, complete, or fit for any particular purpose.
6. Intellectual property
BYOV.ai retains all rights, title, and interest in the Services, including underlying software, models, methodologies, and documentation. Deliverables produced under a statement of work are licensed or assigned as specified therein.
7. Fees
Fees are set out in an order form or statement of work. Unless otherwise agreed, fees are non-refundable, exclusive of taxes, and payable within 30 days of invoice. Late amounts accrue interest at 1.5% per month or the maximum allowed by law, whichever is lower.
8. Confidentiality
Each party will protect the other's confidential information with at least the same care it uses for its own confidential information (and no less than reasonable care), and use it only to perform under these Terms.
9. Warranty disclaimer
Except as expressly stated, the Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill. Each party's total aggregate liability under these Terms will not exceed the fees paid by you to BYOV.ai in the 12 months preceding the event giving rise to the claim.
11. Indemnification
You will defend, indemnify, and hold harmless BYOV.ai from third-party claims arising from your Customer Data, your use of the Services in breach of these Terms, or your violation of law.
12. Term & termination
Either party may terminate for material breach not cured within 30 days of written notice. On termination, you will pay all fees accrued through the termination date. Sections that by their nature should survive (IP, confidentiality, liability, indemnification, governing law) will survive termination.
13. Governing law
These Terms are governed by the laws of the jurisdiction in which BYOV.ai is established, without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction.
14. Changes
We may update these Terms from time to time. Material changes will be communicated by updating the "Last updated" date or by direct notice. Continued use of the Services after an update constitutes acceptance.
